For the first four years I worked as deputy head of legal division at the plant in Kashkadarya region of Uzbekistan. My tasks inter alia were: - to issue legal opinions in respect of day-to-day contracts of the plant: purchase of the goods both domestically and via import, sales of polymer products domestically and abroad; - to consult management and employees on the issues of labor law; - to review decrees and other local documents for compliance to legislation in force; - - to participate in economic (arbitration) courts and civil courts; - to represent the company in various state bodies. From August 2010 after I acquired position in JV "Uz-Kor Gas Chemical" I have been transferred to representative office in Tashkent. My tasks are: - to review new investment projects related agreements implemented by NHC "Uzbekneftegaz" (Ministry for oil and gas) with Shurtan Gas Chemical Complex in the role of operator; - to secure licenses required for activity of the company from the Cabinet of Ministers of Uzbekistan and Agency for foreing labor migration under the Ministry of labor of Uzbekistan.

Legal support of the company's clients on various issues arising in the course of their business activities. Advising borrowers with respect to transactions of bilateral and syndicated lending, structured and project financing. Accompanying construction projects in the field of energy and natural resources, infrastructure / PPP projects, including design and closing of EPC contracts. Being actively involved in the development and coordination of draft of regulatory acts in the realization of the accompanied investment projects.

Uzbekistan GTL LLC is a Special Purpose Vehicle established to carry out the "Production of synthetic liquid fuel on the basis of methane rich gas of Shurtan Gas Chemical Complex" investment project (the GTL Project). The GTL Project is a sovereign guarantee backed multi-billion gas-to-liquid project developed in Uzbekistan by JSC Uzbekneftegaz as a sole participant. The US$ 2.4 billion debt financing is attracted from lenders that include CDB, KEXIM, KSURE, Gazprombank, Roseximbank and international commercial banks. Main duties include: - developing and leading corporate legal strategy to promote and protect the company's matters; - overseeing delivery of legal services and resources to accomplish corporate goals, strategies and priorities; - maintaining proper corporate interactions with the relevant local, state and federal governmental bodies, legislatures and the community at large; - advising the General Director and other senior corporate officers on a variety of legal issues; - managing a team of corporate counsel and other members of the legal department; - managing overall process with company's and lenders' international and domestic legal advisors; - drafting, review and negotiation of the following Transaction Documents: 1) Common Terms Agreement (including restatements thereof, amendments thereto and waiver letters); 2) Individual Facility Agreements (including amendments thereto and waiver letters); 3) Sovereign Guarantees provided by the Government of the Republic of Uzbekistan; 4) Other Finance Documents (Fee Letters, Side Letters, etc.); 5) Gas Sales and Purchase Agreement; 6) Product Offtake Agreement; 7) Catalyst Supply Agreements; and 8) Amendments to EPC Contract and other existing Project Documents.

Full legal support of activity of the company: - Preparation and examination of the various agreements (purchase and sale, including import, rent of movable and immovable property, mortgage, loan, contract, performance of services, civil contracts with individuals, commission agreement); - Registration of changes in constituent documents with the the Ministry of Justice; - Arbitration related work; - Trademark registration with the Agency for Intellectual Property; - Advising management and employees on labor law issues; - Representation of interests of the Company in a variety of government agencies; - Development and expertise of local company acts.

JV "Uz-Kor Gas Chemical" LLC is a Special Purpose Vehicle established to carry out the "Construction of Ustyurt Gas Chemical Complex on the basis of Surgil field with field development" investment project (the Surgil Project). The Surgil Project is an integrated multi-billion gas-to-petrochemicals project developed in Uzbekistan by an Uzbek - Korean joint venture. The US$ 2.54 billion debt financing is structured on a non-recourse basis. Lenders include ADB, CDB, KEXIM, KSURE, Euler Hermes, EKN / SEK and European and South Korean banks. In the course of employment I partiicipated in: - drafting, negotiation, execution and management of more than a hundred Transaction Documents, including four major EPC Contracts (three Downstream EPC Contracts and one Upstream EPC Contract), Investment Agreement between Government of Uzbekistan, Uz-Kor and its shareholders based on concession of Surgil field, shareholders' agreement, license agreements, finance documents, raw materials and utilities supply agreements, offtake agreements, etc. - drafting, negotiaition and validation of day-to-day contracts, i.e. supply of goods, services and works, premises lease agreements, etc.; - drafting and review of various decrees, instructions, regulations and other internal documents of the company; - working closely with other divisions of the company where legal matters are involved; - representing company in economic courts, arbitration and civil courts; - providing legal advice to management of the company; - preparing legal opinions on various matters; - providing advice to employees in relation to labor law and other matters.
